Terms of Use

1. Acceptance of Terms

By accessing or using Scribe ("the Service"), you agree to be bound by these Terms of Use ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, contributors, and/or content creators.


2. Description of Service

Scribe is a knowledge management tool that provides:

  • Audio and video transcription services
  • AI-powered summaries and content extraction
  • Speaker recognition and diarization
  • Task and action item management
  • People and company directory management
  • Full-text search across transcriptions
  • File attachment storage and organization

The Service is provided as-is and may be modified, updated, or discontinued at any time without prior notice.


3. Eligibility

The Service is intended for use by authorized personnel of organizations that have been granted access. To use the Service, you must:

  • Be at least 16 years of age
  • Have received an invitation from an organization administrator, or have an authorized email domain
  • Comply with all applicable laws and regulations

4. Account Registration

To access the Service, you must authenticate using one of the supported methods: Google OAuth or email and password via an organization invitation. You are responsible for:

  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information is accurate and up-to-date

You may not share your account or API tokens with others or allow others to access the Service using your credentials.


5. Acceptable Use

You agree not to use the Service to:

  • Upload content that is illegal, harmful, threatening, abusive, or otherwise objectionable
  • Violate any applicable laws, regulations, or third-party rights
  • Transmit malware, viruses, or other malicious code
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service for any purpose other than its intended business use
  • Record or transcribe conversations without proper consent from all parties

6. Your Content

You retain ownership of all content you upload to the Service, including audio files, video files, and any associated metadata ("Your Content").

By uploading content to the Service, you grant us a limited license to:

  • Process, store, and display Your Content to provide the Service
  • Create transcriptions, summaries, and derived content
  • Generate voice embeddings for speaker recognition features
  • Share Your Content with other authorized users in your organization

You represent and warrant that you have all necessary rights and permissions to upload Your Content and grant the above license.


7. Intellectual Property

The Service and its original content (excluding Your Content), features, and functionality are owned by Happenings Group A/S and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the software, unless laws prohibit these restrictions or you have our written permission.


8. Third-Party Services

The Service integrates with third-party services including:

  • Google OAuth: Authentication (optional)
  • AssemblyAI: Transcription processing
  • Anthropic (Claude): AI-powered features
  • Cloudflare R2: File storage
  • SendGrid: Transactional email
  • Recall.ai: Automated meeting recording (Google Meet, Zoom, Teams)
  • PostHog: Product analytics and session replay (EU Cloud)
  • PartyKit (Cloudflare): Real-time document collaboration
  • PyAnnote (self-hosted): Speaker voice recognition (EU-hosted)
  • Vercel: Application hosting and web analytics
  • Inngest: Background job orchestration

Your use of the Service is also subject to the terms and privacy policies of these third-party services. We are not responsible for the practices or availability of these third-party services.


9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.


10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Transcriptions will be 100% accurate
  • AI-generated summaries or content will be accurate or complete
  • Speaker recognition will correctly identify all speakers
  • The Service will meet your specific requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HAPPENINGS GROUP A/S, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Errors or inaccuracies in transcriptions or AI-generated content

12. Indemnification

You agree to defend, indemnify, and hold harmless Happenings Group A/S and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your Content or any content you submit to the Service

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination:

  • Your right to use the Service will immediately cease
  • You may request deletion of Your Content
  • We may retain certain information as required by law or for legitimate business purposes

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.


15. Governing Law

These Terms shall be governed and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Denmark.
